CHOICE OF LAW
The interpretation and enforcement of this Agreement shall be governed by the laws of the state of Wisconsin, without giving effect to the conflicts of law principles thereof.
REMEDY FOR DISPUTES AND ARBITRATION
Arbitration shall not be used to resolve disputes between any and all parties in connection with this Agreement. In the event of any unresolved dispute, MagResource agrees to return the unused portion of the user’s subscription fee. One-time Set-up fees; however, are not refundable. User sites, which have been disconnected for sharing their password information, are not eligible for any refunds.
In the event that either party is unable to perform any of its obligations under this Agreement (other than payment obligations), or to enjoy any of its benefits because of fire, natural disaster, strikes, slowdowns or other labor related delays, or actions or decrees of governmental bodies, or other events beyond its reasonable control (a “Force Majeure Event”), the party who has been so affected shall immediately give written notice to the other party and shall do everything reasonably possible to resume performance. Upon receipt of such notice, all obligations under this Agreement shall be immediately and temporarily suspended. Interruptions of database access due to Force Majeure Events longer than five working days shall automatically extend the subscription expiration date for a period equal to the duration of such Force Majeure Events. If the period of nonperformance exceeds sixty (60) days from the receipt of notice of Force Majeure Event, the party whose ability to perform has not been so affected may terminate this Agreement by giving written notice to the other party.
